Terms of Service

1. Acceptance of Terms

Welcome to Leverge. These Terms of Service (“Terms”) constitute a legally binding agreement between you and Leverge AI (“Leverge”, “we”, “us”, or “our”) governing your access to and use of the Leverge platform, including our website, applications, and services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and “you” refers to both you and that organization.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Leverge is an AI-powered platform that helps you negotiate PR placement pricing with publishers. The Service allows you to:

• Research publishers and receive AI-generated negotiation intelligence
• Connect your email account (Gmail, Outlook, or equivalent) to send negotiation communications
• Deploy an AI agent to negotiate on your behalf via email
• Track and manage negotiations, deals, and savings

Important: When you connect your email account, Leverge sends emails FROM your address, not from ours. You remain the legal sender and are responsible for the content of all communications.

3. Your Account

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

3.2 Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.

3.3 Account Security

You agree to notify us immediately at security@leverge.ai if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited commercial emails, or communications that violate anti-spam laws (including CAN-SPAM, CASL, GDPR, and PECR)
• Engage in fraudulent, deceptive, or misleading negotiation practices
• Impersonate another person or entity
• Harass, threaten, or abuse publishers or their representatives
• Violate any applicable law or regulation
• Infringe on intellectual property rights
• Distribute malware, attempt unauthorized access, or probe our infrastructure
• Resell, sublicense, or provide the Service to third parties without authorization
• Circumvent rate limits, email warm-up protections, or other safeguards

5. AI-Generated Content

Leverge uses artificial intelligence to generate research intelligence, draft emails, and negotiate on your behalf. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or outdated information
• You are responsible for reviewing all AI-generated content before it is sent
• Pricing estimates, leverage scores, and publisher information are informed predictions, not guarantees
• Negotiation outcomes depend on many factors outside our control
• The Service includes approval checkpoints — use them thoughtfully

We make no representations or warranties regarding the accuracy of AI outputs or the success rate of negotiations.

6. Plans, Billing & Cancellation

6.1 Free Plan

We offer a Free plan with usage limits (currently: 3 research reports and 2 negotiations per month). Limits may change with notice.

6.2 Paid Plans

Paid plans are billed in advance on a monthly or annual basis. All fees are in US Dollars unless specified otherwise.

6.3 Automatic Renewal

Paid subscriptions automatically renew unless cancelled at least 24 hours before the renewal date. You can cancel at any time from your account settings.

6.4 No-Refund Policy

All subscription fees are non-refundable. This includes:

• Partial billing periods after cancellation
• Unused time remaining on annual subscriptions
• Downgrades from higher tiers to lower tiers

6.5 Cancellation

You may cancel your subscription at any time through Settings → Billing. When you cancel:

• Your subscription will not renew
• You retain full access to paid features until your current billing period ends
• No partial refund is issued for remaining time
• After your current period ends, your account reverts to the Free plan

6.6 Refund Exceptions

We may issue refunds at our sole discretion in these circumstances:

• Unauthorized charges (fraudulent activity)
• Billing errors on our end
• Prolonged service outage caused by Leverge
• Bugs that substantially impaired your ability to use paid features

To request an exception, contact billing@leverge.ai within 30 days of the charge.

6.7 Price Changes

We may modify pricing with at least 30 days' notice. Continued use after the effective date constitutes acceptance.

7. Intellectual Property

7.1 Our Rights

Leverge and its original content, features, and functionality are owned by Leverge AI and protected by intellectual property laws.

7.2 Your Content

You retain ownership of the content you submit. You grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely to provide and improve the Service.

7.3 AI Training

We do not use your negotiation content, contact lists, or campaign data to train public AI models. Aggregated, anonymized data may be used to improve internal benchmarks.

8. Privacy and Data

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your data. When you connect an email account, you authorize us to access and send email on your behalf. We do not read, store, or process email content beyond what's necessary to provide the Service.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED OPERATION, ACCURACY OF AI CONTENT, SUCCESSFUL NEGOTIATION OUTCOMES, AND EMAIL DELIVERABILITY.

You use the Service at your own risk.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LEVERGE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DAMAGE TO EMAIL REPUTATION, OR FAILED NEGOTIATIONS. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless Leverge from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party right
• Communications you send through the Service

12. Termination

You may terminate your account at any time from account settings or by contacting support@leverge.ai. We may suspend or terminate your account if you violate these Terms. Sections that by their nature should survive will continue after termination.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notice at least 30 days before taking effect. Continued use constitutes acceptance.
